Practice

Mr. Bersani, Asia Managing Partner for the firm, specializes in corporate finance and securities transactions.  He has deep experience representing both issuers and underwriters.  Transactions in which he has been involved include Rule 144A/Regulation S offerings and registered US public offerings of equity securities and convertible and exchangeable debt offerings.  Among other distinctions, Mr. Bersani has been for several years been cited as “top tier” or “highly recommended” in various guides to the world’s leading capital markets lawyers.

  • The underwriters, led by Merrill Lynch, China International Capital Corporation, Credit Suisse, Deutsche Bank and ICEA Capital, in the US$22 billion IPO of Industrial and Commercial Bank of China Limited, the largest IPO ever
  • Hutchison Whampoa on all of its US dollar bond offerings as well as tender offers and exchange offers relating to the same
  • The underwriters, led by Merrill Lynch, Morgan Stanley, Citigroup and Nomura, in the US$2 billion US IPO of India-based metals and mining company, Sterlite Industries, one of the largest US registered IPO’s ever out of India; JPMorgan and Morgan Stanley in connection with the US$1.5 billion follow-on offering by Sterlite; Deutsche Bank and Morgan Stanley as joint bookrunners in connection with the US$500 million US registered convertible bond offering by Sterlite
  • The Link Management Company in the US$2.5 billion global offering including Hong Kong IPO of The Link REIT.  This was Hong Kong’s first REIT and the world’s largest REIT to date at the time of listing
  • The underwriters, led by Credit Suisse, BOCI Asia and Macquarie, in the US$170 million global offering, including Hong Kong IPO of Lumena Resources Corporation, a leading PRC mineral resource company
  • The underwriters, Credit Suisse and Deutsche Bank, in the US$130 million US IPO and two subsequent follow-on public offerings of PRC-based solar panel manufacturer ReneSola Ltd.
  • The underwriters, led by Credit Suisse First Boston and Morgan Stanley, in the US$455 million US IPO of Suntech Power; the underwriters led by UBS, Goldman Sachs, and Deutsche Bank, in the follow-on offering of American depositary shares of Suntech
  • PetroChina in the US$3 billion dual US and Hong Kong IPO of PetroChina, now the largest company in the world based on market capitalization
  • True Move, a Thai telecommunications company, in the Rule 144A/Regulation S offering of US$225 million of high yield guaranteed notes, one of the only high yield offerings ever out of Thailand
  • The underwriters, led by Goldman Sachs and China International Capital Corporation, in the
    US$4 billion dual US and Hong Kong IPO of China Mobile, the world’s largest mobile phone company, as well as for the underwriters or the issuer on several subsequent follow-on offerings
  • The underwriters, led by UBS and DBS Bank, in the US$717 million Rule 144A/Regulation S IPO by Yangzijiang Shipbuilding on the Singapore Exchange, one of the first PRC based companies to list in Singapore
  • Merrill Lynch as sole bookrunner in the US$325 million secured senior notes offering by Empire Capital Resources Pte Ltd, guaranteed by PT Berau Coal, a leading Indonesia based coal company
  • The underwriters, led by Goldman Sachs, Citigroup and CICC, in the US$1.3 billion dual IPO by China Netcom Group Corporation

  • The underwriters, led by Deutsche Bank, JP Morgan, Merrill Lynch, Phatra Securities and
    SCB Securities, in the US$850 million Rule 144A/Regulation S IPO by Thai Beverage Public Company Ltd.
  • Merrill Lynch and Morgan Stanley in the US$650 million Rule 144A/Regulation S IPO by Rayong Refinery, one of Thailand’s leading oil refiners
  • The underwriters, led by CICC, Merrill Lynch and Morgan Stanley, in the US$1.5 billion dual US and Hong Kong listing and IPO by China Telecom, as well as on a subsequent follow-on offering
