Practice

Ms. Ong is counsel in the firm’s Capital Markets–Asia and Europe Group. She joined the firm’s New York office in 1998 and transferred to the Singapore office in 1999. She has represented both issuers and underwriters in a wide range of capital markets and mergers and acquisitions transactions, including U.S. and international debt and equity offerings by issuers in various industries. Prior to joining Shearman & Sterling, she was appointed Deputy Registrar, Magistrate and Coroner in the Singapore Judiciary.

  • Mercator Lines (Singapore) Limited in connection with the US$141 million Rule 144A/Regulation S initial public offering on the Singapore Stock Exchange. Mercator Lines (Singapore) Limited services primarily large thermal-based power plants and steel companies and its ultimate parent company, Mercator Lines Ltd., is the second largest private sector shipping company in India
  • BW Group Limited in connection with its US$500 million Rule 144A/Regulation S inaugural bond offering listed on the Singapore Exchange
  • Credit Suisse in the US$120 million initial public offering of PT Sampoerna Agro Tbk, an Indonesian company in the palm oil industry, in connection with its listing on the Jakarta Stock Exchange
  • The underwriters, UBS and DBS Bank, in connection with the US$717 million Rule 144A/Regulation S initial public offering and over-allotment option by Yangzijiang Shipbuilding (Holdings) Ltd. on the Singapore Exchange
  • JP Morgan and UBS in connection with the Rule 144A/Regulation S US$116 million initial public offering of Chemoil Energy Limited, one of the largest and leading integrated physical supplier of marine fuel products globally
  • Merrill Lynch and Morgan Stanley in the US$650 million initial public offering and privatization of Rayong Refinery PCL, one of the largest IPOs out of Thailand
  • Deutsche Bank, JP Morgan, Merrill Lynch, Phatra Securities and SCB Securities in the US$850 million initial public offering of Thai Beverage PCL, the second largest IPO ever in Singapore
  • STATS ChipPAC Ltd. (formerly ST Assembly Test Services Ltd) in various capital markets and M&A transactions, including its merger with ChipPAC, Inc. in 2004, concurrent convertible bond and ordinary share offerings in 2003, convertible bond offering in 2002 and NASDAQ/Singapore Exchange listing and initial public offering in 2000
  • The underwriters in the US$350 million bond offering by Thai Oil Public Company Limited
  • Merrill Lynch and Merrill Lynch Phatra in the privatization and offering by the Thai government of US$750 million ordinary shares under Rule 144A and Regulation S of Krung Thai Bank Public Company Limited
  • Merrill Lynch, Phatra Securities and Trinity Securities in the US$150 million privatization and initial public offering by Thai Olefins Public Company Limited
