New York, December 28, 2006 – Shearman & Sterling represented Morgan Stanley Senior Funding, Inc. and Credit Suisse Securities (USA), LLC as joint lead arrangers and joint book managers of a $935 million senior secured credit facility for Dresser, Inc. and D.I. Luxembourg S.A.R.L.  The facility provides for a $785 million term loan and a six-year $150 million revolver. 

Dresser, Inc. is a worldwide leader in the design, manufacture and marketing of highly engineered equipment and services sold primarily to customers in the flow control, measurement systems and compression and power systems segments of the energy industry.
