Shearman & Sterling will host the third installment in its Antitrust Seminar Series on Feb. 10. Hosted by the firm's Bay Area offices, the seminar will focus on "Antitrust Risks in M&A Transactions," with a special emphasis on risk allocation approaches.
M&A partners Steve Camahort and Michael Kennedy will join antitrust partner Dale Collins and antitrust counsel Lisl Dunlop in leading the seminar, which will focus on the possible adverse impact antitrust/competition law issues may have on deal feasibility and certainty, especially in light of the ever-increasing number of applicable merger control regimes.
According to the Shearman & Sterling lawyers, this concern can be even greater in the technology arena because the attitude of competition law regulators towards these sectors can be the most opaque and vary dramatically by regime.
Panelists will discuss these issues and emerging risk-allocation approaches in the context of a typical M&A negotiation.
