Shearman & Sterling Advises Corus on £5.8 Billion Recommended Cash Acquisition by CSN

London, December 11, 2006—Shearman & Sterling LLP is advising Corus Group plc on the £5.8 billion recommended pre-conditional cash acquisition by CSN Acquisitions Limited, a wholly-owned subsidiary of Companhia Siderurgica Nacional (“CSN”), which was announced today.

The Shearman & Sterling team is being led by UK M&A partner Laurence Levy, who is providing UK corporate advice, and includes London-based US M&A partner Bonnie Greaves and associates Sean Skiffington and Babett Carrier who are advising on US securities law issues, associate Coleen O'Mara who is advising on US employee benefits matters, and associate Leanne Ingledew who is advising on US tax matters.

Shearman & Sterling is also advising Corus on all competition aspects of the transaction.  The competition team is led by partner Matthew Readings in London, with associates Tom Bainbridge and George Milton; and in New York by partner Kenneth Prince with counsel Lisl Dunlop and associates James Menz and Kelly Karapetyan.
