Shearman & Sterling Advises E.ON on Landmark $3 Billion US Bond Offering

Düsseldorf/London, April 17, 2008—Shearman & Sterling advised E.ON AG on the launch of a US$3 billion benchmark bond in the US debt market, issued via E.ON International Finance B.V. and documented under Rule 144A, Regulation S, of the US Securities Act.

The transaction comprises two tranches, a US$2 billion 10-year maturity and a US$1 billion 30-year maturity. The 10-year tranche has a coupon of 5.80% and an issue price of 99.578%. The 30-year tranche has a coupon of 6.65% and an issue price of 99.572%. Joint bookrunners of the transaction were Banc of America Securities LLC, Deutsche Bank Securities Inc., Goldman, Sachs & Co. and JP Morgan Securities Inc., with Lehman Brothers, Merrill Lynch Pierce Fenner & Smith and RBS Greenwich Capital acting as co-lead managers.

With the issuance of this bond E.ON has successfully enlarged the spectrum of its financing alternatives by the deepest and most liquid capital market in the world—the US debt market.
