Shearman & Sterling Advises on Alcatel-Lucent's €1 billion Issuance of OCEANEs (Convertible Bonds)

Shearman & Sterling advised the underwriters (Crédit Suisse, HSBC, Morgan Stanley and Société Générale) in connection with Alcatel-Lucent's €1 billion offering of OCEANEs (bonds convertible into and/or exchangeable for new or existing shares) due 2015.  This transaction constitutes the largest offering of OCEANE by a French issuer since the beginning of the year.  It consisted of a private placement in France and internationally, followed by a public offering in France.

Concurrently, Alcatel-Lucent repurchased 14,96% of its 2011 OCEANE initially issued and currently outstanding as part of a reverse bookbuilding process and for an amount of €152 million.
