Shearman & Sterling Advises on CSC Holdings, LLC’s $1 Billion Notes Offering and Concurrent Debt Tender Offer

Shearman & Sterling represented the initial purchasers in connection with CSC Holdings, LLC’s private placement of $1 billion of its 6.75% Senior Notes due 2021 and the concurrent tender offer for its existing 8.50% Senior Notes due 2015, 6.75% Senior Notes due 2012, and 8.50% Senior Notes due 2014. J.P. Morgan Securities LLC acted as the representative of the initial purchasers for the notes offering, with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Barclays Capital Inc., Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman, Sachs & Co., Morgan Stanley & Co. LLC, Natixis Securities Americas LLC, RBC Capital Markets, LLC, RBS Securities Inc., Scotia Capital (USA) Inc., SunTrust Robinson Humphrey, Inc., UBS Securities LLC, and U.S. Bancorp Investments, Inc. acting as joint bookrunning managers. J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Barclays Capital Inc., Citigroup Global Markets Inc., and UBS Securities LLC acted as dealer managers for the tender offer.
