In connection with this transaction a Shearman & Sterling capital markets team also represented Jefferies & Company, Inc. as dealer manager and solicitation agent in connection with a tender offer and consent solicitation for any and all outstanding high yield senior secured notes, senior notes and senior discount notes of El Pollo Loco, Inc. and its direct parent holding company.
