The proceeds from the offering were partially used to fund the repurchase of AmeriGas Partners, L.P.’s outstanding 7⅛% Senior Notes due 2016. Shearman & Sterling also acted as counsel to Credit Suisse (USA) LLC as coordinating dealer manager and solicitation agent and J.P. Morgan Securities LLC and Wells Fargo Securities, LLC as co-dealer managers and solicitation agents in connection with the tender offer and related consent solicitation for such outstanding notes.
