Shearman & Sterling represented Barclays Capital Inc. as underwriter in connection with a secondary offering by Clayton, Dubilier & Rice Fund VIII, L.P. and CD&R Friends & Family Fund VIII, L.P. pursuant to a registration statement with the Securities and Exchange Commission of 14,033,793 shares of common stock of Sealed Air Corporation at a public offering price of $16.60 per share.
