Frankfurt/Main, December 3, 2007—Shearman & Sterling represented MorphoSys AG in connection with a comprehensive strategic alliance with Novartis in the discovery and development of pharmaceuticals. The transaction is aimed at establishing a pipeline of innovative drugs and combines MorphoSys’ and Novartis’ research and development capabilities. Should the cooperation run over its entire 10-year term, aggregate payments to MorphoSys could potentially exceed $1 billion.

The corporate and securities laws advice in connection with the structuring and implementation of the strategic alliance was handled by partner Hans Diekmann (DS-CM) and associate Jan Schapmann (DS-CM).
