Shearman & Sterling Represents Synthes in Acquisition of N Spine

New York, November 14, 2007—Shearman & Sterling LLP represented Synthes, Inc. in its planned acquisition of N Spine, Inc., a privately held company based in San Diego, CA. The acquisition price includes a $30 million payment at closing, payments of up to $45 million based on the achievement of certain milestones and additional earn-out payments based on product sales.

Synthes, whose US headquarters is in West Chester, PA, is a leading global medical device company that specializes in developing, producing and marketing instruments, implants and biomaterials for the surgical fixation, correction and regeneration of the human skeleton and its soft tissues. N Spine designs and develops devices for dynamic stabilization and motion preservation of the lumbar spine.
