Practice
Ms. Arms advises company and investment banking clients on corporate, securities law, governance and capital markets matters and represents issuers and underwriters in public and private securities offerings and exchange offers. Ms. Arms is a partner of the firm.
Prior to joining the firm, Ms. Arms served in several capacities in the Division of Corporation Finance of the U.S. Securities and Exchange Commission from 1984 to 1997. From 1996 to 1997, Ms. Arms served as the Senior Associate Director of the Division of Corporation Finance and was responsible for the disclosure and review program administered by the Division with respect to capital-raising transactions, including offerings of asset-backed securities and derivative instruments, and periodic reporting by publicly traded companies. From 1992 to 1996, Ms. Arms served as Associate Director – Legal, the principal legal officer of the Division, where she was responsible for administering the Offices of Chief Counsel and Mergers and Acquisitions. During this time, Ms. Arms also participated in a number of Division initiatives to streamline the capital-raising regulatory framework, including the elimination of pricing amendments, universal shelf and Rule 144A. Ms. Arms was also a member of Chairman Levitt’s Disclosure Simplification Task Force, which published its report in March 1996. In 1992, Ms. Arms served as the Commission’s securities adviser to Hungary.
Before joining the Commission in 1984, Ms. Arms was employed as a corporate banker with a major international bank.
