Mr. Luzárraga, a partner in the Mergers & Acquisitions Group, has extensive experience in public and private acquisition transactions and international joint ventures, privatizations and financing transactions. Mr. Luzárraga worked for many years on Latin American cross-border transactions, including representation of the bank advisory committee in negotiations with the Argentine government on the restructuring of its sovereign external debt. Mr. Luzárraga joined the firm in 1986 and became a partner in 1995.
Recent Experience
- Banco Itaú Holdings in its acquisition of Bank of America's operations in Brazil in a stock-for-stock transaction valued at US$2.2 billion and negotiation of the exclusive right to acquire BofA's operations in Chile and Uruguay and certain other Latin American assets
- Mpower Communications Holdings, Inc. in its public sale process and merger agreement with TelePacific Communications
- BASF AG in its US$5.6 billion hostile acquisition of Engelhard Corporation
- Deutsche Bahn in its acquisition of BAX Global from The Brinks Company and subsequent disposition of captive airline, Air Transport International, to Capital Cargo International
- DaimlerChrysler AG in the spin-off and sale of its off-highway heavy diesel business to a private equity consortium led by EQT
- Citigroup in restructuring of its joint venture in Credicard—the largest credit card company in Brazil—including purchase of 50% of Unibanco's portion of credit card portfolio and sale to Banco Itaú of 1/3 stake in affiliated card processing business
- Banco Safra in the sale to Telecom Americas of its stakes in BCP S.A. and BSE S.A.—Brazilian cellular companies with operations in São Paulo and the northeast region of Brazil
- Controlling shareholders in the sale of 58% interest in Perez Companc S.A. to Petroleo Brasiliero-Petrobras
- Banco Internacional del Peru in the purchase of Royal Ahold's supermarket operations in Peru and proposed acquisition of Banco Wiese
- Bell Canada International in its US$4 billion joint venture with Telmex to provide telecommunication services in Latin America
- Sponsor group in the joint venture among BOC, Marubeni and Westcoast Energy to finance and build a US$1 billion nitrogen gas compression facility for the Cantarell oil field in Mexico
- Citicorp Equity Investments in (i) the acquisition and restructuring of Alto Parana S.A., an Argentine paper and pulp producer, in a debt-to-equity exchange, (ii) the privatization of the Argentine telephone company and (iii) the acquisition of a controlling stake in Telefónica de Argentina S.A.
