  • Advising Barclays Capital, Merrill Lynch, Morgan Stanley in relation to the (approximate) €9 billion financing for the acquisition of Innovene from BP plc by Ineos Group Limited
  • Acting for Investcorp and Barclays Private Equity in relation to the €470 million senior debt package arranged by Bank of Ireland, Barclays Capital, BNP Paribas, Calyon, ING, Intesa Sanpaolo, Natixis and Société Générale and the €150 million mezzanine debt for the acquisition of N&W Global underwriting by ICG
  • Acting for Texas Pacific Group as sponsor and Telediffusion de France S.A. in relation to the financing of a €850 million deal to acquire Deutsche Telecom’s Media & Broadcast business
  • Acting for Texas Pacific Group in connection with the senior and second lien facilities supporting the leveraged buyout of the French tower company TDF by TPG and Axa Private Equity arranged by BNP Paribas, Citigroup, Merrill Lynch, HSBC and Morgan Stanley
  • Acting for Investcorp on its leveraged buy-out of Icopal AS, financed by way of a €740 million senior facility, including a €100 million second lien tranche, an €80 million mezzanine facility and a €30 million PIK facility
  • Acting for Investcorp on its leveraged buy-out of Moody International (Holdings) Limited from Close Brothers Private Equity, financed by way of a $220 million senior facility, including a $15 million second lien tranche
  • Acting for Investcorp on its leveraged buy-out of Armacell International, financed by way of a €255 million senior term facility, €37.5 million second lien facilities agreement and €37.5 million mezzanine facility agreement
  • Acting for ABN AMRO Bank N.V. and Citigroup Global Markets Limited in relation the €1,075 million refinancing of Maxeda DIY B.V. group
  • Acting for Goldman Sachs as lead arranger (together with HVB, Deutsche and Mizuho) in relation to the acquisition of the ista International GmbH group by Charterhouse financed by way of a €1,690 million senior facility and a €450 million second lien facility
  • Acting for Texas Pacific Group and Apax Partners in relation to the €1,670 million financing for the acquisition of TIM Hellas Communications S.A.
  • Acting for Investcorp in relation to the senior and mezzanine financing for the acquisition of Polyconcept Holdings B.V. and the subsequent acquisition of Global Promo Group, Inc.
  • Acting for JP Morgan, Morgan Stanley, Merrill Lynch, HSBC and The Royal Bank of Scotland in relation to the €2,427 million credit facilities provided for the acquisition by Clayton, Dubillier & Rice, Eurazeo and Merrill Lynch Global Partners, Inc. pursuant to a public offer of Rexel S.A.
  • Acting for HypoVereinsbank and Commerzbank AG in relation to the €840 million senior debt facilities and €100 million mezzanine facility made available for the recapitalization of the Demag Group
  • Acting for Investcorp in relation to senior and mezzanine credit facilities arranged in relation to its acquisition of a majority interest in Apcoa AG and a subsequent compulsory tender offer for the remaining shares in Apcoa AG
  • Acting for Barclays Bank plc in relation to the £75 million credit facilities for the acquisition by Terra Firma of the waste recycling business of Shanks McEwan and the subsequent increase of £75 million in the £530 million credit facilities on the acquisition by Waste Recycling Group plc for the Shanks waste business
  • Acting for Citigroup, ABN AMRO and ING in relation to the €1,750 million credit facilities provided for the acquisition of by KKR pursuant to a public offer of Vendex KBB N.V. Shearman & Sterling also acted for the arrangers in relation to the €325 million high yield bond issued by a holding company of Vendex KBB NV
  • Acting for Credit Suisse First Boston and Morgan Stanley as arrangers of facilities in excess of £1 billion to finance the offer for Debenhams plc
  • Acting for Merrill Lynch and Barclays Bank PLC as arrangers of £530 million of senior credit facilities to finance the acquisition of Waste Recycling Group plc by Terra Firma
  • Acting for CIBC, Goldman Sachs and HypoVereinsbank in relation to €525 million senior facilities and €197 million mezzanine facilities arranged to finance the acquisition of Viterra by CVC
