Stuart K. Fleischmann

Stuart Fleischmann joined Shearman & Sterling in 1982 and has spent his entire career at the firm. He is currently a partner in the firm’s Capital Markets Group and spends time in both the New York and Sao Paulo offices focusing principally on debt and equity offerings by Latin American companies, sovereign nations and quasi-governmental entities. He regularly represents underwriters and issuers, primarily in the oil and gas, steel, telephone, electricity and financial institution industries, on a wide range of SEC registered, 144A/Regulation S and private placements of debt and equity securities. He is also regularly involved in such novel transactions as toll road financings and securitizations involving credit cards, residential mortgages, international oil payments, money transfers and electronic remittances, loan pools, auto and farm equipment loans and leases and franchise revenues.

Selected Experience

  • Represented the International Underwriters in the $69 billion equity offering by Petrobras, the Brazilian state oil company, in the largest equity offering of all time
  • Represented the International Underwriters in the $11 billion debt offering by Petrobras, the largest ever by a Brazilian issuer, as well as the International Underwriters and Lenders for substantially all of Petrobras' financings since 2001
  • Represented the International Underwriters for various 144A/Regulation S offerings by Pemex, the Mexican state oil company, including all of its issuances of Global Depository Notes (GDNs)
  • Represented BNDES, the largest Brazilian state owned bank, in various international debt offerings, including its issuance of bonds exchangeable into shares of Embraer, S.A., the Brazilian aircraft manufacturer held by BNDES
  • Represented Azul S.A. in its pending SEC registered initial public offering
