Merritt Johnson is a partner in the firm's Capital Markets Group. He represents issuers and investment banks in a variety of transactions, including high yield and investment grade debt offerings, initial public offerings, secondary equity offerings, leveraged buy-outs and liability management transactions. Mr. Johnson has worked on transactions in a wide range of industries, including healthcare, mining and metals, oil and gas, media and telecommunications, consumer retail products, technology and general industrials.

Selected Experience

  • Morgan Stanley and the other initial purchasers in connection with a $640 million financing for Halyard Health’s Inc.’s spin-off from Kimberly-Clark Corporation, including a $250 million offering of senior notes
  • Goldman, Sachs & Co. and the other initial purchasers in connection with a $1.2 billion senior notes offering by Steel Dynamics, Inc. in connection with its acquisition of Severstal Columbus, LLC
  • Represented Jefferies Finance LLC in connection with its issuance of senior notes
  • Morgan Stanley and the other underwriters in connection with the initial public offering of Catalent, Inc.
