Robert Masella


Rob Masella is a partner in Shearman & Sterling’s Mergers & Acquisitions Group in New York. He has extensive experience in U.S. and cross-border corporate transactions, complex corporate contracts, Board of Directors representation and corporate governance matters. Rob is co-head of the Firm’s Healthcare Group.

Rob’s transactional work includes public and private mergers and acquisitions, sell-side and buy-side transactions, dual-track M&A/IPO processes, joint ventures, licenses, co-promotion agreements, debt and equity investments and issuances, spin-offs and other forms of corporate transactions. Rob also regularly represents investment banks in connection with financial advisory assignments. Rob’s corporate governance practice includes advising clients with respect to shareholder activism, corporate governance and fiduciary duty matters, disclosure obligations, conflicts-of-interest and compliance matters. 

Rob joined Shearman & Sterling as a partner in 2015. Rob spent a number of years as a Managing Director in the Mergers & Acquisitions Group at Bank of America Merrill Lynch, where he advised companies on U.S. and cross-border merger and acquisition transactions and participated on the firm’s fairness opinion committee. Rob was previously a partner with Clifford Chance LLP and was also with Cravath, Swaine & Moore LLP for nearly a decade.   

Rob sits on the Business Law Partner Advisory Board of Thomson Reuters Accelus and is a member of the National Advisory Committee of the Colonial Williamsburg Foundation.

Rob is a member of the New York City Bar Association’s Committee on Mergers, Acquisitions and Contests for Corporate Control and the New York City Bar Association’s Corporation Law Committee.
