Matthew Powell


Matthew is a corporate partner in our Abu Dhabi office with a broad practice, particularly focusing on the energy sector, private capital and cross-border matters. His extensive experience includes joint ventures, farm-in arrangements, public and private acquisitions and equity capital raisings. Matthew provides commercial advice to a wide range of clients including majors, IOCs, NOCs, corporates, infrastructure funds, SWFs, family offices and private equity houses.

Matthew has worked with clients in the UAE since 2007 when he was based in Dubai.  He has also worked in Eastern Europe and was previously seconded to Genel Energy plc where he focused on upstream acquisitions and joint ventures. Matthew is a member of the Association of International Petroleum Negotiators, and is noted in the 2013, 2015 and 2016 editions of Legal 500 for his work in M&A and oil and gas transactions. 

Selected Experience

  • Abu Dhabi Global Market (ADGM) on its establishment as an international financial centre in the United Arab Emirates (for which Shearman & Sterling were awarded “Corporate Team of the Year” at the Corporate Counsel Middle East Awards 2015)
  • ADNOC on the award of a 10% interest in the Abu Dhabi onshore oil concession to BP Abu Dhabi, in exchange for which Abu Dhabi took a 2% interest in BP plc
  • Engie on the sale of its stakes in Paiton (Indonesian power assets) to Nebras Power and Mitsui for approximately $1.5 billion and in Meenakshi (Indian power assets) for an undisclosed sum
  • EFG Hermes on its joint venture with TNB International to purchase 365 MW of UK solar assets from TerraForm Power for £470 million
