Joshua W. Thompson


Joshua W. Thompson is head of  Shearman & Sterling's Global Leveraged Finance Group. He focuses his practice on advising the world’s leading financial institutions – including banks, non-bank credit providers, private equity firms and hedge funds – on their most important matters across a broad range of industries and sectors. He also regularly advises major global corporate borrowers.

Josh’s practice has a particular emphasis on complex financings, including acquisition financings and other leveraged lending (including leveraged buyouts, tender offers and other going private transactions), structured financings, asset-based lending, second lien financings and mezzanine investments. He also has extensive experience representing debtors, creditors, management and investors in complex restructurings, work-outs, bankruptcies and acquisitions of troubled companies. As counsel for lead arrangers and private equity sponsors, Josh is involved in all aspects of deal structuring, negotiation and documentation. Josh maintains an active practice in structuring and advising finance companies and other private capital debt providers.

Josh is recognized as being a leading practitioner for bank lending by IFLR1000 and The Legal 500, which notes that “clients are ‘happy to put trust and faith’ with the ‘excellent’ team head.” He is also the former General Counsel of Jefferies Finance.

Josh’s representative experience includes advising, among others:

  • Credit Suisse Securities (USA) LLC, as administrative agent, and Credit Suisse Securities (USA) LLC, Barclays and Citigroup Global Markets Limited, as joint lead arrangers and joint bookrunners, in the US$5.88 billion and €3.55 billion 364-day senior bridge loan financing for the acquisition by GTECH S.p.A. of International Game Technology (IGT)
  • Bank of America, N.A., as administrative agent and collateral agent, in connection with an asset-based financing related to the leveraged buyout of Chiquita Brands International, Inc. by Cutrale Group and Safra Group
