Shuang Zhao


Shuang Zhao is a partner in Shearman & Sterling’s Hong Kong office. Her practice focuses on general corporate and capital markets matters and she has worked on a variety of equity, equity-linked and debt offerings. Transactions in which she has been involved include SEC-registered offerings, Rule 144A/Regulation S offerings and listings in the United States and Hong Kong. Ms. Zhao regularly advises public companies on corporate governance and regulatory compliance matters, including issues arising under the Sarbanes-Oxley Act.

Ms. Zhao has been named as a leading individual for debt and equity capital markets in Hong Kong by IFLR1000 Guide to the World’s Leading Financial Law Firms.

  • Wuzhou International Holdings Limited, a mainland property developer, in its US$200 million IPO in Hong Kong
  • China National Petroleum Corporation, China Petroleum Finance Company Limited, CNPC Finance (HK) Limited and CNPC Golden Autumn Limited in connection with the offering of CNY2.5 billion 2.550% Guaranteed Bonds due 2013 and CNY500 million 2.950% Guaranteed Bonds due 2014 guaranteed by CNPC Finance (HK) Limited
  • Suntech Power Holdings Co., Ltd. in its IPO and US$287.5 million follow-on offering on the NYSE as well as a number of Rule 144A convertible notes offering, with a total value of approx. US$1.075 billion
  • Simcere Pharmaceutical Group in joint venture with Merck & Co., Inc. and in its US$260.5 million IPO on the NYSE
  • The Special Committee of Simcere Pharmaceutical Group in the company’s going private transaction
