Asset-Based Lending

We represent commercial banks, investment banks and corporates in all forms of asset-based lending transactions globally. We have advised on structures ranging from US-style "borrowing base" facilities to complex multi-jurisdictional transactions using "true sale" and similar risk isolation techniques funded in both bank and capital markets.

Our practitioners have been active participants in this market for a number of decades and are well-versed in structuring around complex receivables issues, including those related to prohibitions on assignment, confidentiality, "lock box" cash collections, transfer pricing and related matters.

As such, transactions are often undertaken as part of more complex financial engineering for a company, and our lawyers work closely with the rest of the global Finance and Capital Markets teams to structure transactions within the frameworks of bond and loan covenant packages. Our lawyers are familiar with asset-backed commercial paper (ABCP) conduit programs across the globe and have acted for many of the largest conduits in the market, both in establishing and maintaining the conduit programs and on individual trade receivables financings acting for conduits and asset originators.
