Shearman & Sterling Represents Indian-based Essar Group in its Acquisition of US Steel Distributor Esmark Inc.

New York, April 30, 2008—Shearman & Sterling is representing India’s Essar Steel Holdings Limited in its acquisition of U.S. steelmaker and distributor Esmark Inc., parent company of Wheeling-Pittsburgh Steel Corp., in a deal valued at $669 million (€430.5 million). The deal was announced this morning after Esmark said it has agreed to the terms of a proposed tender offer and merger with Essar for a cash purchase price of $17 a share.
