Executive Compensation Clawbacks

Shearman & Sterling partner Doreen E. Lilienfeld (New York-Executive Compensation & Employee Benefits) and associate Alicia M. O’Connell (New York-Executive Compensation & Employee Benefits) wrote a feature article, titled "Executive Compensation Clawbacks," published in the March 29, 2010 edition of New York Law Journal.

With executive compensation programs under public scrutiny following the recent financial crisis, the authors note, there has been an increased focus on compensation recovery, or "clawback" policies, by Congress, the U.S. Securities and Exchange Commission, institutional shareholders and corporate governance activists. Many public companies have voluntarily adopted new clawback policies or have enforced existing policies for the first time. The article examines several state wage statutes impacting on the enforceability of clawbacks, as well as local labor and employment laws applicable outside the United States.
