Practice
Geoffrey B. Goldman is a partner in the firm’s New York office. His practice focuses on derivatives and structured products. He has extensive experience with structuring and documenting over-the-counter derivatives transactions, particularly credit and equity derivatives. He has represented clearinghouses and other infrastructure providers for derivatives transactions as well as industry groups in developing industry-standard documentation for derivative products. He regularly provides advice with respect to commodities, securities and other regulatory issues related to derivatives and other financial products. He also has broad experience representing issuers and underwriters of synthetic and cash-flow collateralized debt obligation transactions. He has advised clients on structuring public and private commodity pools. Clients include major U.S. and foreign financial institutions, clearing organizations and trading facilities, derivatives infrastructure providers, corporate users of derivatives, hedge funds and industry groups.

  • IntercontinentalExchange in connection with the establishment and ongoing development of its ICE Clear Credit (previously ICE Trust) and ICE Clear Europe clearinghouses for credit default swaps and other products and development of client clearing solutions
  • Depository Trust & Clearing Corporation in connection with the ongoing development of its derivatives processing services and infrastructure, including development of its Trade Information Warehouse, equity and rates derivatives trade repository, electronic derivative confirmation systems and swap data repository
  • Advice to U.S. and non-U.S. financial institutions in connection with U.S. regulatory reform affecting derivatives and structured products, including compliance with Dodd-Frank Act requirements
  • Advice to U.S. and non-U.S. financial institutions in connection with derivatives transaction close-out and counterparty risk management for derivatives transactions, including in connection with the Lehman Brothers insolvency, MF Global insolvency and other financial institution insolvencies
  • Advice to FX trading platform in connection with the implementation of CFTC retail foreign exchange dealer requirements
  • Documentation of credit and equity derivative transactions for financial institutions and hedge fund counterparties
  • Documentation of corporate equity derivative transactions for financial institutions and corporate issuers
  • Development of repo-based financing structures for convertible bonds and other illiquid assets
  • Documentation of structured securities lending transactions for financial institution counterparties
