Practice
John Cannon is Practice Group Leader of the Executive Compensation & Employee Benefits Group and focuses on all aspects of compensation and benefits, including corporate, securities, bankruptcy, employment and tax laws and ERISA. He has extensive experience in executive compensation and corporate governance matters, Dodd-Frank and Sarbanes-Oxley, and the employee issues raised in the mergers and acquisitions context. Mr. Cannon joined the firm in 1985 and became a partner in 1994.

Experience
  • Shiseido in its acquisition of Bare Essentials, Inc. and the negotiation of continued terms of employment for the target CEO, Leslie Blodgett
  • Avenue Capital and DDJ Capital Management in connection with the Bankruptcy Code Section 363 acquisition of Milacron Inc.’s assets and associated employee issues
  • Management of USI Holdings in the negotiation of employee arrangements with the private equity arm of Goldman Sachs, purchaser of USI
  • Giuliani Partners in connection with its consulting engagements and strategic alliances, including agreements with Mexico City, CB Richard Ellis, Bear Stearns and Cognos Corporation, and its acquisition of Ernst & Young Corporate Finance
  • Viacom and CBS in the negotiation of new employment agreements with the Chairman of the two companies in connection with their separation
  • John Henry in various transactions, including the purchase and sale of the Florida Marlins and the acquisition of the Boston Red Sox
  • Boston Scientific, Continental AG, Corning, Danone, Florida Crystals, Siemens and Viacom, relating to the compensation and benefits aspects of acquisitions
  • American Axle, BE Aerospace, Dun & Bradstreet, Dycom, Saks, Sonic, Textron, Vonage and others providing ongoing executive compensation and related corporate governance advice
  • Various individual executives in connection with the negotiation of employment and severance agreements
