Practice
Jeremy Kutner is a partner in the European Corporate Group based in Shearman & Sterling’s London office. Jeremy has worked on a very broad range of corporate transactions, ranging from public and private M&A to equities work, joint ventures and restructurings. Many of the transactions he has worked on, especially over the last few years, have been ground breaking or market-leading in some way.

Experience
  • Liberty Global, Inc., a leading international cable company, with operations in 13 countries, on its acquisition of Virgin Media Inc. in a stock and cash merger transaction valued at approximately $23.3 billion
  • Vivendi on the £487 million sale of Parlophone Label Group, by its subsidiary Universal Music Group, to Warner Music Group
  • Barry Callebaut, the world’s leading manufacturer of high-quality cocoa and chocolate, on its acquisition of a Singaporean cocoa ingredients business for approximately US$1 billion
  • General Electric Company on its successful US$4.3 billion bid to acquire the Avio Group, an Italian headquartered developer and manufacturer of aerospace propulsion components and systems for civil and military aircraft
  • Informatica Corporation, the world’s number one independent provider of data integration software on its acquisition of all of the outstanding shares of Data Scout Solutions Group Limited, a leading cloud ‘Master Data Management’ provider
  • Lecta S.A. a CVC portfolio company, on its reorganisation and refinancing, comprising a high yield bond issuance of €390m Floating Rate Senior Secured Notes due 2018 and €200m 8⅞% Senior Secured Notes due 2019 and a new €80m Revolving Credit Facility
  • Anglo American plc on its US$5.39bn sale of a 24.5% stake in Anglo American Sur to Mitsubishi
  • Jacobs Holding and other shareholders on their sale of Infront Sports & Media AG to Bridgepoint
  • Actavis Group hf on its €6bn restructuring (the largest leveraged restructuring in the European market)
  • Thor Bjorgolfsson on his personal debt restructuring (the largest personal restructuring in Europe for some years)
  • Lloyds Banking Group on its various fund raisings, exchanges, internal reorganisations, equity issues and acquisitions (including HBOS plc) since September 2008, including the largest ever rights issue in Europe at the time, the first compensatory rights issue and the creation and issue of the first contingent convertible bonds
  • The sponsors and underwriters on HSBC plc’s 2009 rights issue (at the time the largest rights issue in Europe)
  • RTL Group on its acquisition of 66% of Alpha Media Group
  • Banco Santander on its contemporaneous acquisition of certain of GE’s commercial finance businesses and its disposal to GE of Interbanca SA
  • EQT on its acquisition of the SSP business from Compass Group plc
  • Allied Domecq on its approx. £7.5bn takeover by Pernod Ricard SA and Fortune Brands
  • WH Smith on its takeover defence following an offer by Permira
