Practice
Julian Tucker is a partner in the structured finance practice of Shearman & Sterling LLP in London. He joined from Allen & Overy LLP in May 2005 having been a partner in their securitisation group for seven years.

Julian has a broad range of securitisation, structured finance, aircraft financing and capital markets experience in both the public and private markets and his practice encompasses numerous asset types and structures, including sovereign, multi-jurisdictional receivables, corporate, asset and property financings and refinancings. He is an acknowledged expert in the field of structured property and infrastructure finance transactions. In addition, he has worked on a number of “whole business” transactions in the UK, Europe and the Middle East.

Julian is also an acknowledged expert in the area of mortgage servicing both in the public securitisation market and in relation to private portfolio servicing. He regularly acts for Crown Mortgage Management Limited, one of the largest independent mortgage servicing suppliers in the UK.

Julian also has a significant practice in the corporate trust arena, advising them, amongst other things, in respect of structured finance, acquisition finance, project finance and corporate debt transactions. His trustee clients include Citicorp Trustee Company Limited, Deutsche Trustee Company Limited, Bank of New York Mellon and Law Debenture Trust Corporate p.l.c.

Julian has extensive experience in working with and acting for the major credit rating agencies and other industry bodies including the European Securitisation Forum, advising on the development of ratings criteria and regulatory initiatives.

He is acknowledged as a leading lawyer by The Legal 500, Chambers UK Guide, Chambers Europe Guide, The Chambers Global Guide 2012 and Legal Experts guide 2011.

  • Advising lenders/arrangers/trustees on infrastructure bond (public/private placements/rated/listed and combinations thereof) and bank financings in the Middle East, Asia and Caribbean
  • Advising Arion Bank hf. on the restructuring and transfer of Kaupthing Bank’s covered bond programme
  • Advising Citicorp Trustees as Security Trustee in the Schoeller Arca leveraged buyout restructuring
  • Numerous mandates for corporate trustees (including Citi, Deutsche, BONYM and Law Debenture) for capital markets (straight, structured and high yield) issuances and on leveraged and project finance transactions and restructurings
  • Advising Citicorp Trustees in London and Dubai on the Salik Toll Road monetisation
  • Advising Citicorp Trustees in Dubai in relation to the Muharraq waste water project in Bahrain
  • Aircraft lease financings for GOL and TRIP Linhas Aereas (including export credit agency aspects thereof)
  • CMBS and capital markets issuances for Newcastle Building Society
  • The issuer in the début public CMBS transaction for the HSBC NEMUS conduit – Nemus II (Arden) Plc
  • The lead managers and arrangers of most of the Canary Wharf property finance transactions (the first of which was the first UK secured loan transaction to be rated AAA by Standard & Poor’s)
  • Citigroup as sole arranger and bookrunner of the £250 million debut CMBS for West Bromwich Building Society
  • CSFB as arranger of the $635 million property finance issuances in France, La Défense II and III
  • CSFB in its debut conduit CMBS transaction, Titan 2004-1 plc
  • Deutsche Bank in relation to its CMBS of the Centro Oberhausen shopping complex in Germany
  • The Managers on the Annington financings of Nomura’s PFG group’s interests in the Married Quarters Estates of the UK government and subsequent tap issues
  • The Republic of Finland in all of its social housing loan transactions, Fennica 1-6
  • The arrangers of the Tornator Finance whole business securitisation in Finland (IFLR award winner–Securitisation Deal of the Year 2003)
  • Advising the arrangers (Deutsche Bank) and managers (BNP, Merrill Lynch and EFG Eurobank Ergasias) on the first ever Greek securitisation, Hellenic Securitisation S.A. for the Hellenic Republic
  • Assisting in drafting amendments to the Greek Civil Code to facilitate securitisation in Greece
  • Advising Morgan Stanley on a securitisation of consumer and mortgage loans for Piraeus Bank – Praxis 1 Finance plc
  • Numerous corporates/arrangers on debt and MTN capital markets issuances
  • Numerous companies and conduits on multi-jurisdictional trade receivables financings in the ABCP market


Selected Professional & Business Activities
Regularly contributes to publications, including International Securitisation Report, International Finance Review and International Financial Law Review, Euromoney, Euroweek and other financial journals. Co-authored a chapter on infrastructure finance in the Expansion and Diversification in Securitization Yearbook 2007.
