Practice
Ms. Chen is a partner in the Global Asset Management Group of Shearman & Sterling and leads our asset management and funds practice in Asia. Ms. Chen advises clients in the structuring, restructuring, formation and operation of alternative investment products, including private equity funds, real estate funds, hedge funds and funds of funds. Ms. Chen is also an expert on regulatory and compliance matters related to investment funds and their managers. Ms. Chen has extensive experience in representing investors in making investments in private funds around the globe, including investments in hedge funds, private equity funds, real estate funds and venture capital funds. Her clients include institutions, funds of funds, sovereign wealth funds, affluent individuals and family offices. Ms. Chen also represents clients in acquisition and joint venture transactions in the asset management area, as well as co-investments.

Ms. Chen advises clients on a variety of other topics, including advising both issuers and underwriters in capital markets, project finance and securitization transactions from the perspective of the U.S. Investment Company Act of 1940. She has also worked in the areas of general corporate law and mergers and acquisitions, and has advised major international corporations in their cross border business transactions with China.

Ms. Chen joined the firm’s New York office in 2001. She worked in the Asset Management Group in New York until she transferred to our Hong Kong office in late 2008. From Asia, she continues to serve the firm’s global clients in the asset management area, with a focus on enhancing the firm’s ability to provide asset management services to Asia-based clients or clients with an Asia focus.

Ms. Chen is named in Chambers Asia for investment funds Asia-wide. She is also rated as a “Key Individual” for "Investment Funds: Private Equity Asia-wide" in Chambers Asia 2011 and listed for “Hong Kong Investment Funds: Hedge Funds” in the PLC Whichlawyer Investment Funds Handbook 2011.

Professional Activities
Ms. Chen is a frequent speaker on various topics in the asset management area. Her audience includes legal and business teams of many financial institutions, securities regulators in various jurisdictions and senior management of investment fund managers. Her most recent speaking engagements include:
  • Presentations to various financial institutions about the impact of the financial crisis on the global alternative investment market, due diligence issues when making an investment in hedge funds, structuring private equity funds, formation of RMB funds, and topics related to co-investments and secondary investments (2009 to 2011)
  • Panel speaker on the topic of non-U.S. broker dealers and advisers dealing with U.S. clients (including Rule 15a-6 under the U.S. Securities Exchange Act), on a conference organized by ComplianceAsia (Oct. 2009)
  • "SEC Regulations Outside the United States" Conference: panel speaker with U.S. and Hong Kong securities regulators on "U.S. Private Fund Investment Manager Registration Act” (March 2010)
  • A panel hosted by China Securities Regulatory Commission Seminar in December 2010 on regulation of private equity fund managers: A panel speaker about the U.S. SEC's Regulatory Regime
