Practice
Mehran Massih has nearly 20 years of experience in all aspects of environmental law and is the chief adviser on environmental, health and safety and climate change matters arising in corporate transactions in our London office. Since joining Shearman & Sterling in January 1996, he has advised numerous companies and financial institutions on environmental matters arising in the context of mergers, acquisitions, divestitures, financings, securities offerings and on day-to-day regulatory and environmental compliance matters. Mr. Massih has specialised experience in negotiating environmental indemnities and bespoke pollution insurance coverage in transactions involving industrial assets and is recognised by Legal 500 UK for leading on the environmental aspects of corporate and finance transactions.

Mr. Massih also practises in our Capital Markets Group and represents several non-U.S. companies in their ongoing U.S. corporate governance and securities law compliance.


Experience
Experience Includes Representing the Following Clients on Environmental, Health, Safety and/or Climate Change Matters:
  • Various entities, including AES and Pacific Oil and Gas, in the sale of emissions reduction credits generated under the UN Kyoto Protocol’s CDM regime and advising on financing of CDM projects
  • KEPCO advising on international nuclear liability regimes
  • Credit Suisse in financing the acquisition of UK offshore oil processing installations by Endeavour Energy
  • Corden Pharma, part of the International Chemical Investors Group, in its acquisition of Roche's pharmaceutical and chemical manufacturing business in Colorado
  • ICE Futures Europe and ICE Clear Europe on environmental and climate change aspects of their clearance and settlement rules
  • American Sugar Refining in the acquisition of Tate & Lyle’s sugar arm
  • Dow Chemical Company in the divestiture of its Styron unit to Bain Capital
  • Credit Suisse in financing the acquisition of the Ryedale power plant in Yorkshire, UK
  • Abu Dhabi investment company Aabar Investments in acquiring, together with Daimler AG, a majority shareholding in Brawn GP, winner of the 2009 Formula 1 constructors’ and drivers’ championships
  • Avenue Capital and DDJ Capital Management in acquiring Milacron’s plastic processing and industrial fluids assets
  • Abu Dhabi’s ATIC on its S$5.6 billion investment in Singapore’s Chartered Semiconductor Manufacturing
  • Arcelor Mittal in the acquisition of the Sicartsa and Border Steel mining and production assets
  • Anglo American in the sale of the Boart Longyear group of companies to Advent International
  • AngloGold Ashanti and Norsk Hydro, in respect of their public disclosure regarding environmental regulation and compliance, as well as more generally in respect of U.S. securities law compliance
  • Glatfelter in its acquisition of metallised paper manufacturing assets in Wales
  • Nokia in the merger of its Networks Business Group with the carrier-related operations of Siemens AG to form Nokia Siemens Networks
  • E.ON in the disposition of its Ruhrgas Industries business to Nachtwache Acquisition
  • Viacom in its merger with CBS (due diligence of nuclear decommissioning liabilities)
