Practice Michael Steinberg, a counsel in the Finance Group, has practiced structured finance, corporate and bank finance law since joining Shearman & Sterling as an associate in 2002. He represents financial institutions, major corporations, investment funds and financial sponsors in various types of transactions involving specialized finance structures, including securitization and asset-backed finance, as well as unsecured and secured bank financings generally, with experience in esoteric asset classes such as motion pictures, pharmaceuticals and aircraft.

- Morgan Stanley Senior Funding, Inc. as sole lead arranger and as a joint bookrunner in connection with an amendment and extension of HUB International Limited's senior secured term and revolving credit facilities
- Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, BNP Paribas, BNP Paribas Securities Corp., The Royal Bank of Scotland plc and RBS Securities Inc. as arrangers in a $3 billion financing for Sealed Air Corporation related to its acquisition of Diversey Holdings, Inc. and the repayment of certain indebtedness
- The Dow Chemical Company as borrower under a $5 billion senior unsecured revolving credit facility arranged by Citigroup Global Markets Inc. and HSBC Securities (USA), Inc.
- Credit Suisse Securities (USA) LLC as lead arranger in connection with a $300 million five-year revolving credit facility for Rayonier Inc. and some of its principal subsidiaries
- Bank of America, N.A. as administrative agent in connection with a $650 million asset-based revolving credit facility pursuant to an amendment of the amended and restated revolving credit agreement for Berry Plastics Group, Inc., Berry Plastics Corporation and the other subsidiaries of Berry Plastics Corporation
- Barclays Bank PLC, as administrative agent, and Barclays Capital, the investment banking division of Barclays Bank PLC, Banc of America Securities LLC and Credit Suisse Securities (USA) LLC, as joint lead arrangers and bookrunners, in connection with a $2 billion senior secured financing for the acquisition of NBTY, Inc., by The Carlyle Group
- Credit Suisse as lender and letter of credit issuing bank in a series of CDS-backed letter of credit facilities with individual capacities between $35 million and $625 million for seven different borrowers, primarily in the energy sector
- BAML Capital Partners in various transactional matters, including National Powersports Auctions
- Barclays Capital, Credit Suisse Securities (USA) LLC, Goldman Sachs Bank USA and Sumitomo Mitsui Banking Corporation as joint lead arrangers and joint bookrunners of a $1.175 billion credit facility for Carlyle Group’s going-private transaction for Syniverse Technologies Inc.
- BE Aerospace, Inc. as borrower under a $750 million amended and restated senior secured financing revolving credit facility agented by JPMorgan Chase Bank, N.A.
- American Sugar Refining, Inc. and several of its affiliates, in connection with a trade receivables securitization facility arranged and administered by Rabobank Nederland, New York Branch
- Barclays Capital, Morgan Stanley Senior Funding, Inc. and UBS Securities LLC, as joint lead arrangers and joint bookrunners of a $335 million senior secured credit facility for Aurora Diagnostics, LLC
- Bank of America, N.A., as administrative agent in connection with a $1 billion amended and restated credit facility for a privately held marketing solutions company
- Morgan Stanley and RBC Capital Markets as joint bookrunning managers and representatives of the several initial purchasers in connection with a Rule 144A/Regulation S offering of high yield senior secured first-priority notes by Zayo Group, LLC and Zayo Capital, Inc., guaranteed by several subsidiaries
- Berkshire Hathaway/National Indemnity Corporation as equity collateral provider in terminating and unwinding several series of leveraged leasing transactions
- HSBC’s Private Bank as lender in a $80 million secured refinancing of debt of the Michael Jackson estate
