Long before opening our Rome office in 2002, Shearman & Sterling had been a leading international firm in the Italian market. During the 1990s, we worked on many of Italy's privatizations and initial public offerings, with our lawyers regularly making their way to Italy from London, Paris and beyond. As increasing numbers of international deals started to be handled directly from Italy, it became clear that our clients were looking to us to provide local advice from a permanent base in the country.
Our Rome office has grown steadily since its opening, and in January 2010 the firm expanded its coverage of Italy with the opening of a second Italian office in Milan. Shearman & Sterling's Italy-based lawyers offer dual Italian and US law capability and focus mainly on private and public mergers and acquisitions, international joint ventures, equity and debt offerings, including high-yield offerings, privatizations and general corporate work. With the recent addition of new senior lawyers, the Italian offices also offer full coverage in the leveraged finance and restructuring areas. Further, the firm's international arbitration practice has established a physical presence in Italy, and we offer Italian antitrust coverage through a senior lawyer based in Brussels.
Shearman & Sterling’s Italy-based lawyers advised on many of the largest, most complex and most innovative transactions completed in the Italian market in recent years, including various market firsts. For example, our Italian capital markets team has acted as underwriters’ counsel in the €3.5 billion rights offering of Snam Rete Gas, the €4 billion and the €7 billion rights offerings of UniCredit and the €2.3 billion initial public offering of Enel Green Power. Recent significant Italian representations include advising GE in its $4.3 billion acquisition of the aviation business of Avio S.p.A., an Italian manufacturer of aviation propulsion components and systems for civil and military aircraft.
