Practice

Ms. Gibson practises in the Capital Markets Group—Asia and Europe and resides in the London office. She concentrates primarily on the international corporate finance and US securities law area, with particular emphasis on cross-border and global financings and corporate advisory and governance work. She has regularly advised such corporate clients as AngloGold, BG, BOC, Corus, Nokia, Norsk Hydro, Orange, Rank Group and Turkcell on US regulatory and corporate governance matters. Ms. Gibson also has extensive experience advising oil and gas, natural resource and electrical utility companies on financing and disclosure matters.

From June 2002 until January 2004, Ms. Gibson was head of the Capital Markets Group—Asia and Europe. From May 1995 to May 2002, Ms. Gibson was the managing partner of Shearman & Sterling’s London office. Prior to May 1995, she was the managing partner of the firm’s Toronto office, which she opened in January 1989. Prior to joining Shearman & Sterling in 1984, Ms. Gibson practised law in Canada for five years and was also a Law Clerk to the Chief Justice of the Ontario Court of Appeal.

Ms. Gibson is recommended as a leading practitioner in capital markets in the Legal Experts Guide 2008.

  • Global underwriters and Hungarian placing agents in the privatisation of MOL Rt. (three tranches), the Hungarian national oil and gas company
  • ENI, the Italian national oil and gas company, in the second tranche of its privatization
  • Turkcell in its global initial public offering and New York Stock Exchange listing, the first Turkish company to list on the NYSE
  • Orange SA in its €6.3 billion initial global public offering and the previous initial public offering and Nasdaq/London listings and subsequent high-yield debt offering of Orange plc
  • Ontario Hydro in its numerous global bond offerings
  • Petro-Canada, the Canadian national oil and gas company, in its privatization
  • Suncor in several debt and equity offerings
