Practice

Robert Treuhold is a partner in Shearman & Sterling’s Corporate Group. He specializes in U.S. and international corporate, banking and financial transactions. Mr. Treuhold has extensive experience in privatizations, international joint ventures, project financings and mergers and acquisitions. He joined the firm in New York in 1984 and has also practiced in the firm’s London and Abu Dhabi offices. Prior to rejoining the Paris office, where he served as office Managing Partner, Mr. Treuhold was based in New York where he served as the firm’s worldwide Managing Partner.

Mr. Treuhold is cited as a “leading capital markets lawyer” in France in the IFLR1000 - Guide to the World’s Leading Capital Markets Lawyers published by Euromoney Publications LLC, in the Chambers Global – Guide to the World’s Leading Lawyers for Business, published by Chambers & Partners as well as in The Best Lawyers guide.

  • Numerous privatizations including: Air France, Crédit Lyonnais, EDF, ENEL, France Télécom, Pechiney, Rhône-Poulenc, Snecma, Thomson and Usinor
  • Initial public offerings, issuance of bonds, convertible bonds and financings for French and European companies

Mergers & Acquisitions
  • Deutsche Bank and Lazard as financial advisors to Honeywell International and as presenting banks in connection with the acquisition by Honeywell of all the shares of Sperian Protection through a share purchase agreement entered into with Essilor International, Mrs. Ginette Dalloz and Société Civile Familiale Dalloz, and through the launch of an all-cash voluntary public tender offer
  • Atos Origin in the reorganization of the activities of its joint venture with NYSE Euronext, Atos Euronext Market Solutions (AEMS)
  • Lazard and Merrill Lynch as financial advisors to Gaz de France (GDF) in connection with its merger with SUEZ
  • STMicroelectronics in connection with the creation of a semiconductor joint venture with Intel Corporation and Francisco Partners focusing on flash memory solutions
  • Neuf Cegetel in connection with its acquisition of AOL’s French internet access business
  • IXIS Corporate & Investment Bank, a subsidiary of Groupe Caisse d’Epargne, in its acquisition of an interest in Lazard Group in connection with Lazard Group’s initial public offering
  • The Permal Group in its restructuring and sale to Legg Mason, Inc.
  • Groupe Danone in its sale of interest in DS Waters Enterprises, LP with DS Waters, LP and DS Waters Enterprises General Partner, LLC to Kelso & Company and in its acquisition of interest in DS Waters, LP from Suntory International Corp.
