Shearman & Sterling represented Merrill Lynch, Pierce, Fenner & Smith Incorporated as agent in connection with the commencement of an at-the-market offering program for Kansas City Southern, pursuant to which the company may offer and sell up to $75 million of its common stock from time to time. Kansas City Southern, through its subsidiaries, conducts domestic and international rail operations in North America that are focused on the north/south freight corridor, connecting key commercial and industrial markets in the central United States with major industrial cities in Mexico.
