Shearman & Sterling Represents Underwriters in Three Public Offerings for BB&T Corporation

Shearman & Sterling represented Banc of America Securities LLC, Morgan Stanley & Co. Incorporated, Wells Fargo Securities, LLC, BB&T Capital Markets, a division of Scott & Stringfellow, LLC and UBS Securities LLC, as joint lead managers and bookrunners and RBC Capital Markets Corporation, as co-manager, in connection with an offering by BB&T Corporation and BB&T Capital Trust VI consisting of 23,000,000 Enhanced Trust Preferred Securities of the Trust, which included the exercise in full of the underwriters’ over-allotment option to purchase an additional 3,000,000 Enhanced Trust Preferred Securities, for net proceeds of approximately $557 million.

Shearman & Sterling also represented BB&T Capital Markets, a division of Scott & Stringfellow, LLC, Morgan Stanley & Co. Incorporated and UBS Securities LLC, as joint bookrunners and Barclays Capital Inc., as sole bookrunner, in connection with two separate offerings by BB&T Corporation under its existing Medium-Term Note Program, of $1,000,000,000 in aggregate principal amount of 3.85% Senior Notes due 2012 and $250,000,000 in aggregate principal amount of 3.10% Senior Notes due 2011, for net proceeds of approximately $1.25 billion.
