Structuring innovative transactions that provide unique benefits for major US and non-US corporations is our hallmark.  Many of these transactions involve financings in the bank or capital markets (including through securitization) or require credit support in the form of derivatives and other structured debt and equity products.  We assemble multidisciplinary teams to address the complex issues involved in such transactions, including tax, corporate finance, securities, insolvency, ERISA, and regulatory specialists.  This team approach allows our clients to benefit from our expertise in developing high-value products.

In addition, we have advised several financial institutions in securitizations that permit a sponsor to obtain benefits over and above those that it would have in a traditional securitization.  One such program involves the issuance of asset-backed notes and the simultaneous repackaging of the notes using an offshore structure that is designed to provide additional tax benefits and business advantages to affiliates of the sponsor.
