On June 30, 2017, counsel Toshiro Mochizuki and associate Rena Katsuyama (both Tokyo-Capital Markets) gave a seminar in Tokyo titled “SEC Regulations Applicable to Business Combinations and Group Reorganizations by Japanese Companies.” The seminar was sponsored by Kinyu Zaimu Kenkyukai.

Mr. Mochizuki and Ms. Katsuyama explained how US laws may apply to business combinations between Japanese companies and how they can avoid unnecessarily triggering SEC registration obligations, as well as the steps they should take when registration becomes necessary.
