Shearman & Sterling advised Citigroup Global Markets Inc. and Wells Fargo Securities, as joint lead arrangers and bookrunners, in connection with an $800 million secured term loan for Houghton Mifflin Harcourt Publishers Inc., HMH Publishers LLC and Houghton Mifflin Harcourt Publishing Company. Part of the proceeds of the loan will be used to finance the acquisition of the educational technology services business of Scholastic Corporation.
