Shearman & Sterling’s M&A and Restructuring Transactions Receive IFLR Americas Awards

Shearman & Sterling received two significant awards—“M&A Deal of the Year” and “Restructuring Deal of the Year”—at the IFLR Americas Awards ceremony held in New York on March 31.

The M&A Deal of the Year recognizes the firm’s work on Dow Chemical Company’s $5 billion spinoff of its chlor-alkali and derivatives business and merger of the new entity with Olin Corporation, which acquired the assets using a Reverse Morris Trust tax structure. This complex and unique transaction included a carve-out, equity and debt exchanges and a public company merger.

The Shearman & Sterling team was led by New York M&A partner and Global Head of M&A George Casey and New York M&A counsel Heiko Schiwek, and included Doreen Lilienfeld (New York-Compensation, Governance & ERISA), Richard Alsop (New York-Capital Markets), Douglas McFadyen (New York-Tax), Laurence Bambino (New York-Tax), Jordan Altman (New York-Intellectual Property Transactions), JD DeSantis (New York-Finance), Alan Goudiss (New York-Litigation), Gregor Page (London-Project Development & Finance), Robert Nelson (San Francisco-Project Development & Finance) and Jason Pratt (New York-Environmental), and a large team of associates led by Gregory Gewirtz, Roger Morscheiser, Grace Jamgochian and Samara Thomas (all New York–Mergers & Acquisitions).

The Restructuring Deal of the Year recognizes the firm’s representation of the ad hoc bank steering committee in connection with the $4.5 billion restructuring of Corporación GEO, a Mexican-based home builder, and certain of its subsidiaries in Mexico. This transaction was the first pre-packaged restructuring after the implementation of the new restructuring laws (Concurso Mercantil) under the Mexican financial reforms. The Shearman & Sterling team was led by of counsel Jeanne Olivier and included partner Alexandro Padrés (both New York-Project Development & Finance).

The firm was also shortlisted in the categories of “Debt and Equity-Linked Deal of the Year,” “High-Yield Deal of the Year,” “Debt and Equity-Linked Team of the Year,” “High-Yield Team of the Year,” “M&A Team of the Year,” “Restructuring Team of the Year” and “Americas Firm of the Year.”
