Shearman & Sterling is advising GENEWIZ on its agreement to be acquired by Brooks Automation for approximately $450 million, subject to working capital and other adjustments.

GENEWIZ is a leading global genomics service provider with laboratory operations in the United States, the United Kingdom, Germany, China and Japan. Brooks Automation is a worldwide provider of automation solutions and has been expanding its technology and leadership in multiple markets, including semiconductor manufacturing and life sciences.

The transaction is expected to close by the end of this calendar year on satisfaction of customary closing conditions and regulatory approvals.
