Shearman & Sterling advised Barclays Bank PLC, as sole bookrunner, on Stonegate Pub Company Financing plc’s high yield notes offering of £150 million floating rate senior notes due 2022. The notes are guaranteed on a senior secured basis by Stonegate Pub Company Limited and all of its material subsidiaries. The offering, which was conducted pursuant to Rule 144A and Regulation S under the U.S. Securities Act, closed on February 4, 2019. 

Stonegate Pub Company Limited is one of the largest managed pub companies in the United Kingdom, operating over 700 pubs, bars and other venues across the country.
