ViacomCBS Inc.’s $2 Billion Notes Offering and Cash Tender Offers

Shearman & Sterling represented ViacomCBS Inc. in connection with its $2 billion notes offering and related cash tender offers for a maximum of $2 billion aggregate purchase price of certain of its and its subsidiaries’ outstanding debt securities. Citigroup Global Markets Inc., Deutsche Bank Securities Inc., J.P. Morgan Securities LLC and Mizuho Securities USA LLC acted as joint-bookrunning managers for the notes offering and as dealer managers for the tender offers.

ViacomCBS’ $2 billion notes offering consisted of a $1 billion issue of its 4.200 percent senior notes due 2032 and a $1 billion issue of its 4.950 percent senior notes due 2050. ViacomCBS used the net proceeds from the offering to fund the purchase and redemption of debt securities in the related cash tender offers.
