Shearman & Sterling advised Cowen and Intrepid Partners as joint book-running managers on the initial public offering of Flame Acquisition Corp., a special-purpose acquisition company, of 28,750,000 units at an offering price of $10 per unit, each unit consisting of one share of Class A common stock and one-half of one redeemable warrant.

Flame Acquisition Corp. is a blank check company formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses in the energy industry in North America. The company is led by James Flores and Gregory Patrinely, former executives of Sable Permian Resources.
