This article follows-up on Jonathan’s earlier article in Law360 of April 21, 2020 “A UK Court Take On Contracting With An Undisclosed Agent.

A more recent decision of the English Commercial Court highlights a different, yet equally interesting, issue in this area. The court considered whether one of the named parties had entered into the contract as an agent. It is a further reminder of the potential difficulties agency relationships (or the possibility of them) can create for contractual enforcement and interpretation, even many years after a contract is signed.
