BLOOMBERG LAW  FEATURES CHAPTER ABOUT EXECUTIVE COMPENSATION AND THE 1933 ACT

Partner Gillian Emmett Moldowan and associate Jai Garg (both New York – Compensation, Governance & ERISA) authored a chapter in Bloomberg Law’s Executive Compensation Guide  titled “Impact of the Federal Securities Laws, The 1933 Act.” The chapter discusses the scope of the 1933 Act as applied to securities offerings in connection with compensatory arrangements, the use of the Form S-8 registration statement, and the principal exemptions from registration that issuers typically rely on to avoid registration under the 1933 Act, as well as certain limitations under the 1933 Act on the resale of issuer securities.
