On February 3, 2014, Dover Italy Holdings S.r.l. (“Dover Italy”), an Italian entity controlled by Dover Corporation (NYSE: DOV) (“Dover”), entered into a sale and purchase agreement with MS S.r.l., its controlling quotaholder FIM S.r.l. and an individual guarantor, for the acquisition by Dover Italy of the entire share capital of MS Printing Solutions S.r.l., a company specializing in digital inkjet printers and associated consumables serving the textile and specialty material markets.
