George Casey (New York-Mergers & Acquisitions) and Alan Goudiss (New York-Litigation) hosted a breakout session at the NYSE Governance Services Annual Boardroom Summit on October 6. The presentation on the critical role of the board in M&A transactions examined fiduciary duties, the ability to say no to a proposed deal, the important role of special committees in conflict situations and recent shareholder litigation case studies.
In connection with the Boardroom Summit, Casey also visited the NYSE trading floor to discuss when it is appropriate and necessary for the board to form a special committee, as part of NYSE’s Board Governance Series.
