Partners Karl Pires (Tokyo-Mergers & Acquisitions) and Toshiro Mochizuki (Tokyo-Capital Markets) spoke at the 3rd Annual Japan M&A Forum organized by Mergermarket on April 10 in Tokyo, Japan.

Karl moderated the panel “Bigger and better? Japanese cross-border M&A in 2019 and beyond.” The panel focused on the key factors driving Japan’s foreign acquisitions and the opportunities and sourcing of cross-border deals. Discussion topics included the types of cross-border M&A transactions that were expected in 2019; the risks that Japanese companies may face when venturing abroad; the unique operational challenges that Japanese buyers face when acquiring and managing a foreign business; and how companies can bridge the valuation gap when overpaying for overseas assets.

Toshiro gave a presentation on “Practical Considerations Regarding the CFIUS Process.” The presentation provided an overview of the new Committee on Foreign Investment in the United States (CFIUS) requirements and practical insights on how foreign investors should address the CFIUS process when proceeding with a transaction involving the United States.
